SHEAR WIND INC. was founded in 2005 and is a Canadian-based renewable energy exploration and development company focused on wind energy projects throughout North America. By selecting exceptional wind resource properties, and by forming partnerships, joint ventures, and making acquisitions to provide additional megawatt (MW) resources, Shear Wind aims to become a significant mid-sized renewable energy developer and operator. Pipeline is targeting over 1200 MW of generation capacity in the next 10 years, Shear Wind has projects under development Alberta, Saskatchewan, Nova Scotia and New Brunswick – including 62.1 MW Glen Dhu Wind Energy project that finished construction in March 2011 to become the largest wind farm in Nova Scotia Headquartered in Halifax, Shear Wind has a regional development office in Calgary as well.

Canadian Wind Energy Industry

Wind energy is the fastest growing renewable energy source in Canada with an average annual growth rate of 60% from 2000 to 2008 and currently the installed capacity has increased to 4,055MW. The future of wind energy development in Canada is promising and is expected to expand significantly over the coming years.

GLEN DHU, NOVA SCOTIA - Generating PH 1 = 62.1MW; POTENTIAL FOR 230MW; 10,000 ACRES
Located east of New Glasgow and on the corridor of the NSPI 138 kV and 230 kV transmission lines through northern Nova Scotia. It has the potential to power approximately 50,000 homes. The first phase of 62.1MW was completed in March 2011. Wind resource assessments have been completed by three firms which shows excellent capacity for the site.

FITZPATRICK MOUNTAIN, NOVA SCOTIA - GENERATING 1.6MW FROM 2 TURBINES
Shear Wind’s entrée investment and TSX Venture Qualifying Transaction in 2006; 100%-owned.

WILLOWRIDGE, ALBERTA - POTENTIAL FOR 100MW; 14,000 ACRES
Willowridge is in southern Alberta in a well-established wind generation region. Newly constructed transmission is available for 100 MW and the project is readying for applications for development approvals and permitting. Construction is targeted in 18-24 months.

COYOTE RIDGE, ALBERTA - POTENTIAL FOR 500MW; 46,000 ACRES
Located south of Lethbridge partially on the western end of the Milk River Ridge with excellent wind resource established from five years of collected data and studies. Shear Wind is targeting construction of up to 500 MW to begin in 2014 or 2015. The Alberta power market is deregulated which permits hourly market pricing that optimizes revenues. A new transmission corridor is in planning and approval stages. Future option for export to USA may be considered by 2014.

MANN SIDING, NEW BRUNSWICK - POTENTIAL FOR 150MW
Mann Siding is the most advanced of Shear Wind’s investments in New Brunswick.

BURSTALL, SASKATCHEWAN - POTENTIAL FOR 100MW; 16,000 ACRES
Shear Wind is an approved bidder for RFP announced September 2010; proposals due July 2011. The project is expected to produce exceptional generation yields and could be an excellent commercial entity.

Strategic Investor

On November 2, 2009, Shear Wind closed a private placement with Genera Avante Holdings Canada Inc. ("GAHC") a subsidiary of Inveravante Inversiones Universales S.L. (a Spanish utility company), whereby 96,439,595 shares of Shear Wind were issued at a price of $0.2792 per share for proceeds of $26,925,935. Founded in 2007 and based in Corunna, Spain, Inveravante Inversiones Universales, S.L. engages in developing real estate projects and has been investing in and developing wind power assets in Spain and internationally. Its financial and equity investments comprise private equity capital, investment in financial markets, real estate properties and the energy sector.

Management Team

Michael Magnus, President and CEO - Appointed CEO on July 1, 2006, Mike was previously Executive VP of a TSX-listed company for over 15 years.

Ian Tillard, Chief Operating Officer - Ian was appointed COO in March 2007. With 30 years of engineering and project development experience and previously President of Barrington Wind Energy Ltd. (Nova Scotia wind energy exploration and development company). Ian is presently on site at the Glen Dhu Project to oversee the installation and commissioning of the project. He received a BSc in Mechanical Engineering from the University of Waterloo.

Louise Clarke, Vice President - Louise joined in 2006 having been a co-owner and partner of Vindt Resources Inc. She is the project manager responsible for Shear Wind’s Alberta and Saskatchewan projects and RFP’s, having extensive western Canada experience.
